AGL Energy Limited shareholders should by now have received the notice of this year’s Annual General Meeting which will be held at 10.30am on 21 October 2010 at the City Recital Hall, Angel Place, Sydney. Resolution 4 in the Notice of Meeting proposes for consideration by AGL Energy Limited shareholders an increase in the remuneration of non-executive directors. The Notice of Annual General Meeting in relation to this resolution should have included, but did not, a voting exclusion statement to the following effect: “AGL Energy Limited will disregard any votes on resolution 4 by:

  • a director of AGL Energy Limited and
  • an associate of a director of AGL Energy Limited.

However, AGL Energy Limited need not disregard a vote if:

  • it is cast by a person as proxy for a person who is entitled to vote in accordance with the directions on the proxy form; or
  • it is cast by the person chairing the meeting as proxy for a person who is entitled to vote, in accordance with the direction on the proxy form to vote as the proxy decides.

The Chairman will not vote undirected proxies on resolution 4. A copy of this announcement will be included on AGL Energy Limited’s website with this year's Notice of Annual General Meeting and Proxy Form.
